Seller Listing Agreement

1. What this covers

This Agreement applies between you (the "Seller") and DEAL DESK when you list an asset for sale on Deal Desk. It governs the listing itself — it is separate from, and does not replace, the legal agreement you'll need with a Buyer to actually complete a sale.

2. Your warranties

By listing, you confirm that: you own the asset, or have full legal authority to sell it; all information in the listing is accurate, current, and not misleading; you have the right to disclose any information or documents you upload; and the asset is not subject to any undisclosed dispute, charge, or third-party claim that would prevent its sale.

3. Verification documents

We may ask you to upload documents evidencing ownership (e.g. Companies House filings, incorporation documents, prior sale agreements). You confirm these are genuine and unaltered. THESE ARE MANUALLY OR AUTOMATICALLY CHECKED — verification, if necessary.

4. Fees

£129 (EX VAT) per listing (LISTING FEE, non-refundable on publishing AND REMOVED ON CANCELLATION OR NON-RENEWAL) / PLUS SUCCESS FEE STRUCTURE — e.g. "A listing fee of £129 is payable on publishing and non-refundable. A success fee of 2-10% of the final agreed sale price is payable on completion, invoiced to the Seller." Fees are described in on our Pricing page.

5. What we don't do

We do not value your business, negotiate on your behalf, hold sale proceeds, or draft your sale contract. We do not guarantee a sale will happen, or that any Buyer we introduce is able or willing to complete. You are responsible for engaging your own solicitor and accountant for the actual transaction.

6. Removing a listing

You may remove your listing at any time. We may also remove it if we reasonably believe it breaches our Terms & Conditions or these warranties.

7. Liability

You agree to indemnify us against any claim arising from inaccurate information in your listing or from your lack of legal right to sell the asset. Our liability to you is limited as set out in our Terms & Conditions.
